Article 14 - Finance, Contracts and Legal Matters

14.1 Financial management

The management of the Council’s financial affairs will be conducted in accordance with the Code of Business Conduct in Part 5 of this Constitution.

14.2 Contracts

Every contract made by the Council will comply with the relevant section of the Financial Regulations set out in Part 5 of this Constitution.

14.3 Legal proceedings

The County Solicitor is authorised:

(a) to institute, defend or settle any legal proceedings where such action is necessary to give effect to decisions of the Council or to protect the Council’s interests;

(b) to sign any document relating to a legal action to which the Council is or may become a party.

14.4 Common Seal of the Council

The Common Seal of the Council will be kept in secure custody by the County Solicitor. A decision of the Council, the Executive or any committee exercising delegated powers will be sufficient authority for sealing any document necessary to give effect to the decision. The Common Seal will be affixed to those documents which in the opinion of the County Solicitor should be sealed. The affixing of the Common Seal will be attested by the County Solicitor or some other person authorised by him in writing.

14.5 Authentication of documents

All contracts entered into on behalf of the Council in the course of the discharge of an Executive function or in accordance with the decision of any other Committee shall be made in writing and, if not made under the Seal of the Council, signed by a Chief Officer of the Council.
